ITWAY AMENDS ITS BY-LAWS TO THE NEW REGULATION

IN TERMS OF GENEDER QUOTAS IN GOVERNING AND CONTROL BODIES

Ravenna, April 16,  2020 – The Board of Directors of Itway S.p.A., a company listed on the Mercato Telematico Azionario of Borsa Italiana, active in the IT sector, informs that the Board of Directors today deliberated on the amendments of articles 15 and 22 of the company’s by-laws in view of the renewal of the Social Bodies that will take place with the approval of the financial statements as of December 31, 2019. The amendment is functional and conforming to the new provisions of the law in terms of balance between genders in the governing and control bodies of listed companies, promulgated   with Law No. 160 on December 27, 2019 (so-called 2020 Budget law) that modified articles 147-ter and 148 of Legislative Decree 58/1998 increasing the quota reserved to the less represented gender from one third to two-fifths.

Please note that Itway since 2014 has on a voluntary basis adopted what has now been prescribed by the new law with the governing body made up of five directors, three of whom are independent and two of these are women.
