Resolutions on governance

Ravenna, 8 April 2024 – The Board of Directors of Itway SpA, the parent company operating in the IT, Cyber Security, AI and Big Data sector, listed on the Euronext Milan market, met today under the chairmanship of G. Andrea Farina, and appointed Massimo Fanelli as Co-General Manager with ordinary administrative powers. Mr. Fanelli has held the position of Deputy General Manager since November 2022.

The new appointment of Fanelli continues the company’s path, with the necessary investments, aimed at achieving the 2022-2027 Business Plan, which sees the internal organization, according to the governance model adopted by the Company, quickly adapt to a constantly evolving market.

At the same meeting, the Board of Directors approved (i) the Annual Report on Corporate Governance and Ownership Structure pursuant to Articles 123-bis of the TUF, (ii) the Report on the Remuneration Policy and Compensation Paid pursuant to Article 123-ter of the TUF, (iii) the Regulations of the Board of Directors and (iv) the qualitative and quantitative criteria to be used to assess the independence of directors and statutory auditors. The aforementioned reports will be made available to the public, in the manner and within the terms of the law, at the Company’s registered office, at Borsa Italiana S.p.A., on the Company’s website at www.itway.com, as well as on the authorized storage mechanism “Emarket Storage” at www.emarketstorage.com.
