To date there are no Board of Directors Meetings scheduled for the approval of preliminary data and there are no scheduled dates for analyst presentations.
Changes relating to above-mentioned dates and any Board of Directors Meetings for the approval preliminary data, as well as the dates for analyst presentations, will be disclosed to the market promptly.
Legislative Decree 25 of 15 February 2016, implementing Directive 2013/50/EU amending Directive 2004/109/EC, the so-called “Transparency Directive”, has eliminated the requirement for listed issuers based in Italy to publish interim financial reports and has given CONSOB the right to ask issuers to publish interim financial reports and has given CONSOB the right to ask issuers to publish “additional periodic financial information”.
CONSOB subsequently released a new art. 82-ter of the Iussers’ Regulation, which allows companies – on a voluntary basis – to continue publishing “additional periodic financial information” with respect to their annual and half-year reports, in accordance with the principles and criteria laid down in the Regulation.
However, art. 2.2.3, paragraph 3, of the Stock Exchange Regulations continues to require that STAR issuers publish an interim report within forty-five days from the end of the first, third and fourth quarters of the year, it being understood that such issuers are exempt from publishing a fourth quarterly report, if they are publishing an annual report, together with the other documents referred to in art. 154-ter, first paragraph, of Legislative Decree 58 of 24 February 1998 (known as the Consolidated Financial Act or “CFA”), within ninety days from the end of the year.
As an issuer trading on the STAR segment of the MTA market run by Borsa Italiana, Itway is subject to the aforementioned art. 2.2.3, paragraph 3, of the Stock Exchange Regulations. The Company would therefore like to announce that it will continue to publish quarterly reports within forty-five days from the end of the first and third quarter of 2017, in accordance with what it has done up to now, making reference in particular to the provisions of the pre-existing art. 154-ter, paragraph 5, and that it will comply with the principles and application criteria indicated by the new Article 82-ter of the Issuer’ Regulation.
